Acceptance
By accessing the CirclStdio website at circlstdio.io (the "Site") or engaging The Circle Studios LLC ("CirclStdio", "we", "us") for services, you accept these Terms of Service. If you don't agree, don't use the Site or services.
Services
CirclStdio provides marketing automation, AI integration, and multi-agent orchestration consulting and implementation services. Specific scope, deliverables, and timelines are governed by individual Statements of Work (SOWs) executed between us and the client.
Intellectual Property
Site content (copy, designs, graphics, code) is owned by CirclStdio or its licensors. You may not reproduce or redistribute without written permission. For client engagements, IP ownership is governed by the SOW; default position is that custom-built deliverables transfer to the client upon final payment, while CirclStdio retains rights to underlying tools, methodologies, and reusable patterns.
User Conduct
Don't attempt to disrupt the Site, scrape it at scale, reverse-engineer its security, or use it to send unlawful content. Form submissions are subject to anti-abuse review.
Payment
Engagement fees, schedules, and payment terms are stated in the applicable SOW. Standard terms: net-15 from invoice date for retainers, milestone-based for fixed-scope projects. Late payments accrue interest at 1.5% per month or the maximum allowed by law, whichever is lower.
Termination
You may terminate Site usage at any time. Engagement termination is governed by the SOW. We may suspend or terminate Site access for users who violate these Terms.
Disclaimers
The Site and all content are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant uninterrupted availability or error-free operation.
Limitation of Liability
To the maximum extent permitted by law, CirclStdio's aggregate liability under these Terms or any engagement is capped at the fees paid by the client to CirclStdio in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.
Indemnification
You agree to indemnify and hold CirclStdio harmless from claims arising out of your breach of these Terms or your misuse of the Site.
Governing Law
These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law principles. Disputes will be resolved exclusively in the state or federal courts located in Clark County, Nevada.
Changes
We may update these Terms. Material changes will be posted with a revised "last updated" date. Continued use after a change constitutes acceptance.
